Tucci Rue LLC - Master Services Agreement, Terms, Privacy Policy, and General Provisions

This Master Services Agreement, Terms and Conditions, and Privacy Policy ("Agreement") is entered into between Tucci Rue LLC ("Tucci," "Company," "we," or "us") and any individual or entity ("Client," "User," or "you") who accesses our website, communicates with us, submits information, receives services, or submits payment. By visiting our website, submitting a form, scheduling a consultation, communicating with Tucci Rue LLC, receiving materials or services, or providing electronic acceptance or payment, you agree to be bound by this Agreement as of the date of such action ("Effective Date").

Service Agreement and Terms

1. Scope and Nature of Services

Tucci Rue LLC provides executive-level revenue advisory services, including but not limited to:

Interview service
Fractional Chief Revenue Officer (fCRO) advisory support
Revenue strategy and hiring advisory services

Tucci Rue LLC provides services to multiple clients, including clients within the same or similar industries. Client acknowledges and agrees that Tucci Rue LLC may engage with other businesses, including competitors of Client, provided that Tucci Rue LLC will not disclose Client's confidential information or use such information in a manner that would reasonably disadvantage Client. Client agrees that no exclusivity is granted under this Agreement unless explicitly agreed to in writing.

Tucci Rue LLC:

does not recruit or source candidates
does not perform background checks
does not extend offers or negotiate compensation
does not provide legal, tax, or HR compliance advice
does not act as an employer of record
does not make hiring or employment decisions

All hiring and employment decisions remain solely the Client's responsibility.

2. Candidate Communication Authorization

Client authorizes Tucci Rue LLC to:

communicate directly with candidates
conduct interviews (live and/or recorded)
review resumes and submitted materials
evaluate publicly available information

Client represents that it has obtained all required permissions and consents.

3. Advisory-Only Disclaimer

All services, recommendations, reports, frameworks, and communications:

are advisory only
reflect professional judgment
include no guarantees of hiring success, employee performance, revenue outcomes, or business results

Client assumes full responsibility for all decisions and outcomes.

4. Term and Automatic Renewal

Unless otherwise agreed in writing:

The initial service term is two (2) years from the Effective Date, at the current rate of services.
The Agreement automatically renews for successive two-year periods unless either party provides written notice at least 45 days before expiration.
Failure to send a reminder does not invalidate renewal.

5. Pricing and Fees

Unless otherwise agreed in writing:

Standard Hourly Rate – Services are billed at a standard hourly rate of $500.00, based on actual time spent providing services.
Flexible Payment Model – Tucci Rue LLC will provide a statement reflecting the services performed, time invested, and corresponding value at the standard hourly rate. Client may determine the amount it can reasonably afford to pay toward that value. Any amount paid will be treated as payment for services rendered and not as a tip, gratuity, or donation.
Service Term Commitment – Client agrees to an initial two (2) year service term, allowing Tucci Rue LLC to maintain readiness, reserve capacity, prioritize scheduling, and provide consistent access to interview expertise as hiring needs arise.
Automatic Renewal – Following the initial two-year term, the Agreement will automatically renew for successive two-year terms unless terminated in accordance with the Agreement. This structure is intended to maintain continuity and uninterrupted access to Tucci's services.
Billing – Statements or invoices may be issued following an engagement or on a regular schedule determined by Tucci Rue LLC and will reflect only services actually provided and any applicable reserved capacity.
Rate Protection – The standard hourly rate will remain fixed throughout the initial two-year term unless otherwise agreed in writing.
Non-Refundability – Any amounts paid become non-refundable once the applicable services have been performed, scheduled, or capacity has been reserved.
Irrevocable Early Termination – Tucci Rue LLC's flexible payment model is offered in connection with Client's two (2) year service commitment, which allows Tucci Rue LLC to plan capacity, maintain readiness, and provide priority access when hiring needs arise. If Client terminates the Agreement before the end of the initial term, they are responsible for paying a $12,000 early termination fee, less the amount you have paid Tucci Rue LLC within the current term agreement. This fee is separate from amounts paid for interview services and reflects the capacity, availability, and resources that Tucci has committed in reliance on the agreed service term.

6. Billing and Payment Authorization

Invoices are due within ten (10) calendar days unless otherwise agreed in writing. By submitting payment information, Client authorizes Tucci Rue LLC to store payment methods and to charge all applicable fees, including service fees, renewal fees, readiness fees, tips, and any late fees, where permitted by law.

Any unpaid balance may incur a late fee of up to ten percent (10%) of the outstanding amount or the maximum amount permitted by law, whichever is less. Tucci Rue LLC reserves the right to suspend or refuse services for non-payment.

Accounts that remain unpaid may, at Tucci Rue LLC's sole discretion, be referred to collections or pursued through legal action, including small claims court or other appropriate jurisdiction. Client agrees to be responsible for all reasonable costs associated with the collection of unpaid amounts, including but not limited to collection agency fees, court costs, legal fees, and administrative expenses.

7. Cancellation

Client may cancel the Agreement within three (3) calendar days of acceptance unless services, preparation, scheduling, or reserved capacity have begun.
After that period, this Agreement remains binding for the full term. This then becomes irrevocable, meaning the Client cannot withdraw or cancel the notice, or reverse its cancellation.
Payments are non-refundable once services or reserved capacity begin.

8. Client Responsibilities

Client agrees to:

provide accurate hiring and company information
obtain candidate consent where required
communicate scheduling updates promptly
participate in good faith
use Tucci Rue LLC services only for legitimate business purposes

9. Confidentiality

Tucci Rue LLC will treat Client and candidate information as confidential and use it solely for service delivery; Tucci is not responsible for confidentiality breaches resulting from and not limited to:

third-party platform failures
client-side security issues
events beyond reasonable control

Client agrees that Tucci Rue LLC deliverables are for internal use only unless written consent is provided.

10. Intellectual Property

All Tucci materials remain the exclusive property of Tucci Rue LLC, including but not limited to:

reports
templates
frameworks
methodologies
interview systems
branding and website content

Client may not, and is not limited to:

copy or distribute externally
resell or sublicense
reverse engineer
create competing services derived from Tucci Rue LLC materials

Restrictions survive termination for two (2) years.

11. Acceptable Use

Client may not use Tucci's Rue LLC services or materials for:

unlawful activity
harassment or discrimination
misrepresentation
disputes unrelated to hiring or revenue

Violation may result in suspension and an early termination fee.

12. Technology, Platforms, and AI Use

Tucci Rue LLC may use third-party systems and AI-assisted tools, including and not limited to:

CRM platforms
scheduling tools
video conferencing tools
outreach or analytics platforms
Research platforms
secure payment processors
AI-assisted productivity or documentation tools

These support service delivery and operate in accordance with their respective privacy and security policies.

13. Limitation of Liability

To the fullest extent permitted by law, Tucci Rue LLC shall not be liable for, and is not limited to:

hiring outcomes
lost profits or revenue
reputational harm
employee performance issues
business interruption
indirect or consequential damages

If liability is found, Tucci Rue LLC's total liability shall not exceed the fees paid for the specific service giving rise to the claim.

14. Indemnification

Client agrees to indemnify and hold Tucci Rue LLC harmless from claims arising from and is not limited to:

hiring or employment decisions
employment disputes
misuse of Tucci Rue LLC's services or materials
failure to obtain candidate permissions
Client compliance or legal issues

15. Force Majeure

Tucci Rue LLC is not liable for delays caused by events beyond reasonable control, including illness, cyber incidents, natural disasters, outages, personal time off, holidays, or governmental actions.

16. Governing Law and Dispute Resolution

The laws of Pennsylvania govern this Agreement; the parties agree to:

attempt good-faith resolution first
submit unresolved disputes to binding arbitration in Pennsylvania, where permitted by law

Privacy Policy

17. Information We Collect

We may collect:

name, email, phone, company, title
hiring or business information
candidate resumes or materials
interview responses or professional data
publicly available professional information
IP address, device data, and website analytics
cookies or tracking technologies

18. How We Use Information

We use information to:

respond to inquiries
deliver advisory services
communicate with clients and candidates
schedule meetings or interviews
generate reports or evaluations
improve services and website functionality
comply with legal obligations

We do not sell personal information.

19. Candidate Data Handling

Clients are responsible for obtaining candidate consent. Candidate information is used solely for advisory evaluation purposes. Tucci Rue LLC does not independently source candidates or run background checks.

20. Information Sharing

Information may be shared only:

with service providers supporting operations
when required by law
to protect legal rights or prevent fraud

21. Cookies and Tracking

Our website may use cookies or analytics tools to improve functionality and user experience. Users may adjust browser settings to control cookies.

22. Data Security and Retention

Tucci Rue LLC uses reasonable safeguards but cannot guarantee absolute security. Information is retained only as long as reasonably necessary for services, compliance, or dispute resolution.

23. Your Rights

You may request:

access to your data
correction of inaccurate data
deletion where legally permitted
opt-out of communications

24. Children's Privacy

Services are intended for business use and not directed to individuals under 18.

General Provisions

25. Updates

Tucci Rue LLC may update this Agreement periodically. Continued use of services constitutes acceptance of updates.

26. Acceptance of Terms

By requesting, authorizing, or using Tucci Rue LLC's services, Client agrees to be bound by this Agreement and all incorporated terms. Acceptance may occur through email or other electronic communication, including sending or submitting a résumé, candidate information, job description, interview request, scheduling request, or other materials; instructing or authorizing Tucci Rue LLC to proceed; completing an enrollment or signup; submitting payment; or otherwise engaging Tucci to provide services.

Any email or electronic communication demonstrating Client's request, authorization, or intent to proceed with Tucci Rue LLC's services constitutes acceptance of this Agreement, whether or not Client separately signs the Agreement.

By engaging Tucci Rue LLC in any of these ways, Client confirms that it has received or had access to the applicable terms and that the individual engaging Tucci has authority to act on behalf of and bind the Client.

27. Entire Agreement

This Tucci Rue LLC - Master Services Agreement, Terms, Privacy Policy, and General Provisions represent the entire Agreement between Tucci Rue LLC and Client unless replaced by a separate signed written contract.
