  • does not act as an employer of record

  • does not make hiring or employment decisions

All hiring and employment decisions remain solely the Client's responsibility.

  • communicate directly with candidates

  • conduct interviews (live or recorded)

  • review resumes and submitted materials

  • evaluate publicly available professional information

Client represents that it has obtained all required permissions and consents.

3. Advisory-Only Disclaimer

All services, recommendations, reports, frameworks, and communications:

  • are advisory only

  • reflect professional judgment

  • include no guarantees of hiring success, employee performance, revenue outcomes, or business results

Client assumes full responsibility for all decisions and outcomes.

4. Term and Automatic Renewal

Unless otherwise agreed in writing:

  • The initial service term is two (2) years from the Effective Date, at the current rate of services.

  • The Agreement automatically renews for successive two-year periods unless either party provides written notice at least 30 days before expiration.

  • Failure to send a reminder does not invalidate renewal.

5. Pricing and Fees

Unless otherwise agreed in writing:

  • Current rate - IAAS sessions are billed at $7,500 per year per location, which includes access to one (1) job posting to a reasonable extent required by the Client during the annual term

  • Rates remain fixed during the initial term

  • Sessions do not roll over unless agreed in writing

  • Fees become non-refundable once incurred, scheduled, or capacity reserved

Free Service Conversion - If Client is granted access to IAAS services at no cost for any promotional, trial, or limited duration (“Free Service Term”), Client must provide written cancellation within thirty (90) days before the expiration of the Free Service Term. If cancellation is not received within this timeframe, Client will be automatically enrolled in a two (2) year IAAS service agreement at the then-current full rate of the service, and billing will commence accordingly. Continued access to or use of services after the Free Service Term constitutes acceptance of these terms.

6. Account Readiness and Availability Fee

Tucci Rue LLC. reserves professional capacity, scheduling priority, and operational readiness for active clients, and may apply an Account Readiness and Availability Fee if no IAAS session is utilized during any period of one (1) to three hundred sixty-four (364) consecutive days following the Effective Date or any anniversary thereof. This fee is not a service fee but an administrative and capacity-reservation charge associated with maintaining ongoing readiness and availability, regardless of service utilization. Any such fee will be communicated at the time of application and may be waived at Tucci’s sole discretion.

7. Billing and Payment Authorization

Invoices are due within ten (10) calendar days unless otherwise agreed in writing. By submitting payment information, Client authorizes Tucci Rue LLC. to store payment methods and charge all applicable fees, including service fees, renewals, readiness fees, and any late fees where permitted by law.

Client agrees to contact Tucci before initiating any chargeback. Accounts that remain unpaid may be referred to collections, and Client is responsible for all associated collection costs, including but not limited to collection agency fees, legal fees, and administrative expenses.

8. Cancellation
