Tucci Rue LLC - Master Services Agreement, Terms, Privacy Policy, and General Provisions
This Master Services Agreement, Terms and Conditions, and Privacy Policy ("Agreement") is entered into between Tucci Rue LLC ("Tucci," "Company," "we," or "us") and any individual or entity ("Client," "User," or "you") who accesses our website, communicates with us, submits information, receives services, or submits payment. By visiting our website, submitting a form, scheduling a consultation, communicating with Tucci, receiving materials or services, or providing electronic acceptance or payment, you agree to be bound by this Agreement as of the date of such action ("Effective Date").
Service Agreement and Terms
1. Scope and Nature of Services
Tucci Rue LLC provides executive-level revenue advisory services, including but not limited to:

Interview-as-a-Service (IAAS) candidate evaluations
-
Fractional Chief Revenue Officer (fCRO) advisory support
-
Revenue strategy and hiring advisory services
Tucci Rue LLC:
-
does not recruit or source candidates
-
does not perform background checks
-
does not extend offers or negotiate compensation
-
does not provide legal, tax, or HR compliance advice
-
does not act as an employer of record
-
does not make hiring or employment decisions
All hiring and employment decisions remain solely the Client's responsibility.
2. Candidate Communication Authorization
Client authorizes Tucci to:

communicate directly with candidates
-
conduct interviews (live or recorded)
-
review resumes and submitted materials
-
evaluate publicly available professional information
Client represents that it has obtained all required permissions and consents.
3. Advisory-Only Disclaimer
All services, recommendations, reports, frameworks, and communications:
-
are advisory only
-
reflect professional judgment
-
include no guarantees of hiring success, employee performance, revenue outcomes, or business results
Client assumes full responsibility for all decisions and outcomes.
4. Term and Automatic Renewal
Unless otherwise agreed in writing:
-
The initial service term is two (2) years from the Effective Date.
-
The Agreement automatically renews for successive two-year periods unless either party provides written notice at least 30 days prior to expiration.
-
Failure to send a reminder does not invalidate renewal.
5. Pricing and Fees
Unless otherwise agreed in writing:
-
IAAS sessions are billed at $2,000 per session
-
Rates remain fixed during the initial term
-
Sessions do not roll over unless agreed in writing
-
Fees become non-refundable once incurred, scheduled, or capacity reserved
6. Account Readiness and Availability Fee
Tucci reserves professional capacity and operational readiness for active clients; Tucci may apply an Account Readiness and Availability Fee of $2,000:
-
approximately 90 days after the Effective Date
-
at the 12-month anniversary
-
at the 24-month anniversary
This fee reflects reserved access and readiness and is separate from service delivery fees.
7. Billing and Payment Authorization

Invoices are due within 10 calendar days.
-
Tucci may pause or refuse services for nonpayment.
-
By submitting payment information, Client authorizes Tucci to:
-
store payment methods
-
charge valid fees due
-
charge renewal, readiness, or late fees where applicable
-
Client agrees to contact Tucci before initiating chargebacks and is responsible for reasonable collection costs where permitted by law.
8. Cancellation
-
Client may cancel within three (3) calendar days of acceptance unless services, preparation, scheduling, or reserved capacity have begun.
-
After that period, this Agreement remains binding for the full term.
-
Payments are non-refundable once services or reserved capacity begin.
9. Client Responsibilities
Client agrees to:
-
provide accurate hiring and company information
-
obtain candidate consent where required
-
communicate scheduling updates promptly
-
participate in good faith
-
use Tucci services only for legitimate business purposes
10. Confidentiality
Tucci will treat Client and candidate information as confidential and use it solely for service delivery; Tucci is not responsible for confidentiality breaches resulting from:

third-party platform failures
-
client-side security issues
-
events beyond reasonable control
Client agrees that Tucci deliverables are for internal use only unless written consent is provided.
11. Intellectual Property
All Tucci materials remain the exclusive property of Tucci Rue LLC, including:

reports
-
templates
-
frameworks
-
methodologies
-
interview systems
-
branding and website content
Client may not:
-
copy or distribute externally
-
resell or sublicense
-
reverse engineer
-
create competing services derived from Tucci materials
Restrictions survive termination for two (2) years.
12. Acceptable Use
Client may not use Tucci's services or materials for:
-
unlawful activity
-
harassment or discrimination
-
misrepresentation
-
disputes unrelated to hiring or revenue
Violation may result in suspension or termination.
13. Technology, Platforms, and AI Use
Tucci may use third-party systems and AI-assisted tools, including:
-
CRM platforms
-
scheduling tools
-
video conferencing tools
-
outreach or analytics platforms
-
Research platforms
-
secure payment processors
-
AI-assisted productivity or documentation tools
These support service delivery and operate in accordance with their respective privacy and security policies.
14. Limitation of Liability
To the fullest extent permitted by law, Tucci Rue LLC shall not be liable for:

hiring outcomes
-
lost profits or revenue
-
reputational harm
-
employee performance issues
-
business interruption
-
indirect or consequential damages
If liability is found, Tucci's total liability shall not exceed the fees paid for the specific service giving rise to the claim.
15. Indemnification
Client agrees to indemnify and hold Tucci harmless from claims arising from:

hiring or employment decisions
-
employment disputes
-
misuse of Tucci's services or materials
-
failure to obtain candidate permissions
-
Client compliance or legal issues
16. Force Majeure
Tucci is not liable for delays caused by events beyond reasonable control, including illness, cyber incidents, natural disasters, outages, or governmental actions.
17. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Pennsylvania; the parties agree to:

attempt good-faith resolution first

submit unresolved disputes to binding arbitration in Pennsylvania, where permitted by law

We may collect:

We do not sell personal information.
20. Candidate Data Handling
Clients are responsible for obtaining candidate consent. Candidate information is used solely for advisory evaluation purposes. Tucci does not independently source candidates or run background checks.
21. Information Sharing
Information may be shared only:

with service providers supporting operations

when required by law

to protect legal rights or prevent fraud
22. Cookies and Tracking
Our website may use cookies or analytics tools to improve functionality and user experience. Users may adjust browser settings to control cookies.
23. Data Security and Retention
Tucci uses reasonable safeguards but cannot guarantee absolute security. Information is retained only as long as reasonably necessary for services, compliance, or dispute resolution.

General Provisions
26. Updates
Tucci may update this Agreement periodically. Continued use of services constitutes acceptance of updates.
27. Electronic Signature
Submitting a form, clicking acceptance, entering a name electronically, or submitting payment constitutes:

acceptance of this Agreement

confirmation of authority to bind the company

a legally binding electronic signature
28. Entire Agreement
This document represents the entire Agreement between Tucci Rue LLC and Client unless replaced by a separate signed written contract.
